USER TERMS AND CONDITIONS  

These terms were last Updated 20 December 2024.  

Welcome to Pro Star Installations

This is a digital platform that allows potential customers to locate and book services from local Contractors. It has never been so easy to find a local Contractor from the comfort of your own house or office.

Our Terms of Use otherwise known as Ts & Cs governs the contract between all affiliates and Pro Star Installations. It regulates the Contractors and potential Clients on the utilization of Pro Star Installations platform that is made available through Pro Star Installations digital platform – also referred to a Pro Star Installations Trade Lounge.  

This contract makes available key information to all our customers regarding Customer’s obligations and that of Pro Star Installations limitation of liability to Customers and Users’ agreement to mediate and disputes by individual arbitration and waive the right to participate in a class action.  

We encourage all Users of the Trade Lounge platform to familiarise with this contract as use of Pro Star Installations. Please make sure to read this agreement as use of the Pro Star Installations Trade Lounge constitutes acceptance of these terms and conditions.  If a potential customer/User does not wish to be bound by these terms they are advised not to make use Pro Star Installations Trade Lounge.   


Definitions

“We,” “Our,” “Us,” and “Pro Star Installations” refer to Pro Star Installations (PTY) LTD, a private company registered under the laws of the Republic of South Africa, with registration number 2024/799949/07 and its registered office located at 22 Karee Street, Irene, Centurion, 0062.

“You,” “Your,” and “Customer” refer to any individual using Pro Star Installations Trade Lounge or services provided by its Contractors and Associates.

“Charges” mean all fees associated with services provided to Customers, including but not limited to labour, materials, parts, and rubble removal.

 “Quotation” refers to any service estimate provided by a Contractor through Trade Lounge.

“Job” or “Work” means the provision of installation services by a Contractor to you in accordance with these Terms and Conditions of Use.

“Personal Data” refers to key information needed by Pro Star Installations and its Contractors to complete the Job, which may include:

  • Your first and last name.
  • Your contact details, including phone numbers and email addresses.
  • Your residential address.
  • Access details for your premises.
  • Bank and payment card information for deposits, interim, or final payments.


“Estimated Job Time”
refers to the expected arrival time of the Contractor at the site as indicated on Trade Lounge.

“Payment Method” means your selected mode of payment for the Job, such as Electronic Funds Transfer or debit/credit card.

“Trade Lounge” refers to Pro Star Installations’ website and mobile application system used to access its services.

“POPIA” refers to the Protection of Personal Information Act 4 of 2013.

“Website” means www.prostalco.co.za.

References to “us,” “Pro Star Installations,” or “Company” include its employees, officers, directors, agents, shareholders, affiliates, subsidiaries, holding companies, advisers, service partners, and suppliers.

“Person” includes individuals, entities, organizations, or any legal or non-legal entities.

By using Pro Star Installations’ services, you accept these Terms of Use, which may be amended periodically with notice to you.

If you disagree with any terms, you must refrain from using Pro Star Installations Trade Lounge or services.

Data Privacy

Pro Star Installations values your privacy and is dedicated to safeguarding your personal information. We process your personal information in compliance with our Company Privacy Policy. All personal information collected is for the explicit purpose of conducting business activities with you. This may lead to the establishment of a contract or transaction between Pro Star Installations, you, and/or a Contractor. By using our website and services, you explicitly consent to the collection and processing of your personal information. Your personal information may be used periodically to inform you about our products and services. We may also use your information for the following purposes:

  • a) To pursue legitimate business interests, such as generating reports and conducting statistical analyses;
  • b) To comply with requests from internal or external auditors, regulatory bodies, or affiliated entities;
  • c) To provide product and service information via email, telephone, or other communication channels;
  • d) To meet legal and regulatory obligations;
  • e) For use in legal proceedings;
  • f) To assist with criminal or related investigations; and
  • g) To resolve complaints.

We may share your personal information with third parties under the following circumstances:

  • a) To fulfil transactional or contractual obligations (e.g., sharing with transporters for product delivery);
  • b) With external auditors; and
  • c) With regulators, governments, or law enforcement authorities.

When we or a Contractor share your personal information with third parties, these parties are obligated to use it only for the disclosed purposes. We have agreements in place to ensure compliance. Your personal information is stored in cloud storage facilities and may be transferred or processed outside the Republic of South Africa in accordance with Section 72 of POPIA. Unless you have provided explicit consent, Pro Star Installations will not sell, exchange, transfer, or otherwise disclose your personal information to unauthorized parties. You indemnify Pro Star Installations and its Contractors from any inadvertent disclosure to such persons.

In line with POPIA, your personal information will be retained for as long as:

  • Required by law;
  • Mandated by a contract or agreement with you;
  • You have provided consent;
  • Necessary to achieve the purpose of the transaction or contract;
  • Needed for legitimate business purposes; or
  • Required due to ongoing litigation, investigations, or regulatory inquiries.

Generally, personal information will be retained for five years unless otherwise specified.             

 As a data subject, you have the following rights under POPIA:

  • Access your personal information held by us;
  • Request corrections or deletion of your personal information;
  • Restrict or object to the processing of your personal information;
  • Withdraw your consent to the processing of your personal information;
  • Opt out of marketing communications; and • 6. File a complaint with the Information Regulator.

To lodge a complaint with the Information Regulator regarding this Privacy Policy, you may follow the prescribed procedures and forms.

PRO STAR INSTALLATIONS WEBSITE IS SOLELY FOR FACILITATION BETWEEN USER & TRADE LOUNGE

Pro Star Installations Trade Lounge is solely a communications platform for allowing the connection between individuals Customers looking to obtain services and individuals or businesses seeking to provide services otherwise referred to as “Contractors”. Customers and Contractors are referred to as “Trade Lounge Users”. A Customer Need” will be referred to as a service that is enquired about by a Customer via the Trade Lounge. A

requested service is fulfilled by a Contractor and will be referred to as “Contractor Service”.

Reference to Pro Star Installations in any communication refers to all our partners, Contractors, attachments, managing bodies, directors, employees, including any persons that may be involved in fulfilling services on behalf of Pro Star Installations.

Contractor services and any associated products are solely provided by Contractors through the Trade Lounge channel. Pro Star Installations does not in particular directly or indirectly fulfil any services marketed through our Trade Lounge. Pro Star Installations facilitates the connection between the Customers and Contractors who shall in totality bind each to an agreement for services requested.

Pro Star Installations through its Trade Lounge makes use of information as may be provided by partners or third parties and is used in its original format. Pro Star Installations through its Trade Lounge has no validation of the information provided and makes no provisions of any nature on the accuracy and/or its correctness whatsoever. Pro Star Installations will therefore not be held liable for any damages emanating and/or because of the use of provided information.  

Pro Star Installations takes high pride in ensuring the integrity of the Trade Lounge as a facilitation platform. However, no guarantee that platform supplied data is free of any harm which may corrupt and/or limit the effective functioning of the Trade Lounge as being used by Clients.  

The Trade Lounge functions by way of facilitating and connecting Customers with Contractors to fulfil the needs. Once the Customers has been put in contact with the Contractor through the Trade Lounge, all further arrangements in meeting the expectation of the jobs are solely a responsibility between the Contractor and the Customer.  

How it works

Pro Star Installations will as and when available, communicate available customer needs otherwise known as “jobs”. Vetted Contractors that are contained within our database will be allocated a customer based on location of the job. A job link is sent to the suitable Contractor after matching the Customer need and Contractor skill set. Pro Star Installations will only appoint a single Contractor for a job received through the Trade Lounge. The Contractor will supply the quote information to the Customer via Pro Star Installations Trade Lounge. Once the Customer accepts the job, arrangements are made to fulfil the job and invoice issued. Contractors are then paid for the service rendered once the job completion certificate is issued and the customer has paid. In certain exceptional circumstances, Contractors may charge for extra services such as travel when the customer is outside the catchment indicated in the original request.  

Selection of Contractors

Specialist Contractors apply to register on the Trade Lounge by providing up to five references from previous customers. Pro Star Installations may contact these references to verify and confirm the services performed by the Contractors. Once a contractor registration is approved, they can upload profiles detailing information about themselves and their business on Pro Star Installations website.

Pro Star Installations does not independently review or verify the information provided in these profiles beyond the initial reference checks. Since this information is self-reported, Pro Star Installations makes no guarantees or warranties about its accuracy and assumes no liability for any inaccuracies or misrepresentations.

The processes outlined above are subject to change at Pro Star Installations’ sole discretion. While Pro Star Installations employs commercially reasonable methods to screen Contractors during registration, it does not guarantee that Contractors will continue to meet these screening criteria after their initial approval.

Allocation of Contractors   

Pro Star Installations Trade Lounge is visible to all Customers and Contractors. Customers can view individual Contractor’s track record. Pro Star Installations matches the Contractor’s skills set to the needs of the customers and allocate jobs. Customers are allowed to rate Contractors once the job is completed. Job requests are submitted through Pro Star Installations contacting us directly on 071 846 6374, website or by mailing to info@prostalco.co.za. By providing such personal information, you consent to Pro Star Installations’ conditions of use as articulated in this agreement. Pro Star Installations relies on the accuracy of the information as supplied by yourself. It remains a client’s responsibility to ensure that information being used either by Pro Star Installations is accurate or valid at all times. We rely on your accurate information to ensure accurate processing of payments, send quotes, issue invoices and general communication from time to time as need arise.  Any corrections to identified inaccurate information may be channelled through to Pro Star Installations via above named channels.  

Contractor Acceptance of Customer Jobs

All Contractors listed on the Trade Lounge acknowledge and agree to the following:

  • The terms and conditions of any Customer Request, along with the quote or proposal provided for Contractor Services, form a contract directly between the Contractor and the Customer. Pro Star Installations is not a party to this contract and bears no obligations under it.
  • The Customer is not obligated to select the lowest-priced or “best” quote.
  • Pro Star Installations plays no role—direct or indirect—in the Customer’s selection process for a specific quote.
  • Pro Star Installations does not guarantee the accuracy, reliability, or timeliness of the information provided by Customers when posting a request for Contractor Services.
  • Contractors must not offer or agree to perform work that is illegal or beyond their legal authorization to perform.


Subcontracting:

  • Contractors must not use subcontractors without obtaining the Customer’s prior consent.
  • If the Customer consents, the Contractor must ensure that both they and their subcontractors are legally authorized to perform the Contractor Services.
  • By using subcontractors, Contractors agree that subcontractors will adhere to the terms of this agreement as if they were bound by it. Contractors remain responsible to both Pro Star Installations and the Customer for any actions or omissions by themselves or their subcontractors.


Contractor Principles
:

Contractors agree to operate according to the following principles:

  • Be polite and courteous in all interactions with Customers.
  • Clearly communicate the scope of work and timelines for completion.
  • Set transparent payment terms, act honestly, and maintain ethical standards.
  • Perform work to a high standard and in accordance with industry standards.
  • Fulfil all agreed-upon commitments.
  • Strive to create a satisfied customer experience.


Monitoring and Compliance:

  • Pro Star Installations reserves the right to monitor Contractor accounts, ratings, and performance to ensure only the highest-quality Contractors remain on Trade Lounge.
  • Pro Star Installations may remove Contractors from the platform if they fail to adhere to Pro Star Installations’ terms, standards, and principles.


Liability and Privacy Compliance:

  • Contractors accept full liability for any issues arising from the handling and transmission of Customer information.
  • Contractors must ensure compliance with Pro Star Installations Privacy Policy and ensure that any subcontractors appointed do the same.
Accepting of Quotations & Invoicing of jobs

Pro Star Installations will only recognise quotations issued our Trade Lounge unless agreed otherwise upfront. Pro Star Installations will only recognise quotations accepted in writing to be valid and binding. This is provided that all information as required by our terms of use is supplied. Customers must accept quotations within seven (7) days of receiving a quotation for work to be booked within a week of receiving such an acceptance. Quotations received after two weeks of receiving a quotation will only be booked within two weeks post the acceptance date by the customer. All quotations issued are considered expired a month after date of issue without acceptance or acknowledgement of quote – however will be subject to price review. Acceptance of a quotation will include conditions such as agreeable date of payment of a 60% deposit on all labour costs and 100% supply of required materials before the start date. In cases where extra work will be added later, these should be indicated through a quotation adjustment done on Trade Lounge or the balance work will not be recognised for payment. Payments
  1. Once an agreeable price for the work is agreed upon, the contractor will plan the job
  2. Job prices are critically determined to ensure all details are considered and explained to the client
  3. Pro Star Installations will remain the final adjudicator of the price wherein the client doesn’t agree with the price set. Please contact us: info@prostalco.co.za or 071 846 6374
  4. Upon acceptance the Contractor will book the client and fulfil the job
  5. On completion, the Contractor will notify Pro Star Installations in writing noting the full summary and work done.
  6. The job completion will include the client signing a Job Completion Certificate otherwise known as “JCC”.
  1. Pro Star Installations will issue an invoice to the customer indicating any deposits paid as credits. This is sent via our Trade Lounge or suitable agreed channels.
  2. All invoices are payable in ZAR only
  3. All outstanding balances are payable within 24 hours of job completion or will attract interest at a rate of prime plus 5% accounted for daily and capitalised monthly from 25 hours of being outstanding.
Job Terminations, Claims and Adjustments

Pro Star Installations will after evaluation consider terminating an allocated job service for free if notified within more than 48 hours of the job starting. A 25% administration fee is chargeable on funds paid on a full invoice value for all jobs terminated in less than 48 hours of commencement of work.  30% administration fee is charged against payments made as full value of the invoice if a job is cancelled in less than 24 hours of commencement of work. If for any improbable reason the job is terminated by Pro Star Installations, we will refund any funds to the date.

All claims of whatsoever nature are only valid and considered when submitted through sending a mail to info@prostalco.co.za. Please consult the office for further clarity.

All refunds will be actioned within three (3) days of receiving your request and allow a further three (3) days where your bank is not the same as Pro Star Installations.

On the day of the job

In cases where permission is needed to access the property to fulfil the job, the customer remains responsible for facilitating such access. This include in instances where prior authorization is needed ahead the day of starting the job. If for whatever reason the contractor is unable to gain access for the purpose of fulfilling, Pro Star Installations will impose a Non-Access Charge at a rate of R80.00 (Eighty rands) per hour for the number of contractors scheduled for the job.

Access to a named property can only be granted to the contractor and staff as detailed in the appointment notice. Reasonable access should be granted to approved contractor and staff that will be sufficient to comfortably allow them to fulfil the job without any disturbance nor hindrance of any nature. Preparation for the site should be of the nature that doesn’t expect the contractor and staff to move any house nor office furniture or equipment. In the event that above is not adhered to, Pro Star Installations, Contractors and staff, partners will not be held responsible for any damages caused whatsoever. This includes and not limited to any house belongings that may be affected by dust and/or disorder caused by the work done by the contractor and staff. As part of fulfilling the job, the contractor may make use of your utilities, and these will be at no extra charge for the duration of the job. Contractors are only allowed to perform work booked through Trade Lounge of Pro Star Installations. No work shall be performed without the knowledge of Pro Star Installations. If it is later determined that Pro Star Installations and/or the Contractor has been bypassed for the job booked through the platform or for any future work not booked through the Trade Lounge, Pro Star Installations reserves the right to claim 40% of any payments received for such work.

Exceptional Events or Circumstances

For the purposes of these terms of use, the term “force majeure” refers to events beyond reasonable     control, including but not limited to power outages, fires, floods, strikes, national emergencies, acts of God (such as earthquakes, epidemics, and other natural disasters), or any incident resulting from or related to war, which hinders Pro Star Installations or the designated Contractor from meeting their obligations to you. If a force majeure event causes the Contractor to be delayed or unable to fulfil their obligations, such delay or non-performance will not constitute a breach of this agreement, and no claims for loss or damages may be made due to the delay or non-performance.

Breach, Termination, and Suspension

If a Contractor breaches any material terms and conditions and fails to resolve the breach within seven (7) business days after receiving written notice from Pro Star Installations, Pro Star Installations reserves the right to terminate the Contractor’s profile, registration, and/or access to the Pro Star Trade Lounge.

Pro Star Installations will immediately terminate a contractor’s profile and access to Pro Star Installations Trade Lounge if the Contractor engages in any of the following actions:

  • Commits theft of any kind,
  • Solicits cash payments from any User,
  • Circumvents the Pro Star Installations in any manner,
  • Threatens a User or Pro Star Installations
  • Engages in discriminatory behaviour of any kind, or Commits acts of violence, assault, bigotry, or abuse.

Pro Star Installations may, at its sole discretion, terminate, suspend, block, limit, or deactivate a contractor’s account or access to Pro Star Installations Trade Lounge at any time without prior notice, explanation, or justification. In such cases:

  • Third parties may be informed about the action taken against the Pro.
  • Further actions, including legal measures, may be pursued if necessary.
  • The Contractor will not qualify for a refund or any compensation.
  • Pro Star Installations retains the right to keep any content submitted by the Contractor on the platform, without an obligation to return or delete it.

If a contractor’s account is suspended, terminated, blocked, limited, or deactivated, no additional fees will accrue while access remains restricted. However, any fees already due to Pro Star Installations must be paid immediately.

Contractors wishing to voluntarily terminate, suspend, block, limit, or deactivate their account must email their request to info@prostalco.co.za, and Pro Star Installations will process the request as soon as reasonably possible.

Warranties

Pro Star Installations will exercise reasonable care and skill in coordinating services between Contractors and Customers. We will also make every effort to ensure that communication, arrangements, payments, and the completion of the Job are handled professionally and in a timely manner. We have agreements with all listed Contractors, requiring them to maintain the same level of care and skill when performing work on your premises. You warrant that you are either the legal owner of the premises where the job will be performed or have obtained the necessary consent from the owner. If Contractors use materials or parts provided by you, you warrant that such materials and parts are of sufficient quality and will not compromise the standard of work performed by the Contractor. Should the materials or parts you provide be found to be inadequate or of inferior quality, you agree not to hold Pro Star Installations or its Contractors liable for any resulting losses or damages. You further warrant that any claims regarding the materials or parts you supply will be directed solely to their supplier, and you indemnify both the Contractor and Pro Star Installations against any related claims.

Dispute Resolution

You agree to follow the dispute resolution process outlined below. If this process does not resolve your concern, you may escalate the matter to the Consumer Goods Council of South Africa. If you have a dispute regarding the quality of work provided by a Contractor booked through Pro Star Installations, please notify us within 7 days via email at info@prostalco.co.za. Include as much information as possible in your email, along with photographs of the problem areas. We will assess the dispute within 5 working days of receiving your notification and may contact you for additional information if necessary. Based on our initial assessment, we may decide to:

  • Request the contractor to address the issue, or
  • Arrange for an alternative contractor or independent specialist to assess the matter.

We will take reasonable steps to coordinate with you and the contractor to agree on a mutually acceptable resolution time. The decision of Pro Star Installations will be final and binding. If the issue is determined to be a fault in the installation, the Contractor will resolve it at no cost to you for call-out or labour. If the issue arises from an event that occurred after the installation, the Contractor will inform you of their findings and provide an invoice for any applicable charges. If you disagree with the additional charges, we will work to mediate a resolution acceptable to all parties. If a resolution is not possible, the matter will be referred to our selected panel of specialists for arbitration. The arbitration panel will consist of three (3) independent Specialists, who are experienced in the relevant discipline. The panel’s members will be appointed solely by Pro Star Installations and will remain independent of the Contractor(s) involved in the dispute. The panel will submit a written report and decide based on the balance of probabilities. The ruling of the arbitration panel is final and binding on all parties. By proceeding, you agree to adhere to this decision. For product-related claims, please address these directly with the product supplier. Legal Obligation

Pro Star Installations shall not, under any circumstances, be held liable for any damages, losses or loss of income caused by the actions of the Contractor or the Customer. Pro Star Installations will assist the Contractor or Customer in good faith to resolve any disputes that may arise. Such assistance does not constitute or imply liability, whether jointly or individually. Pro Star Installations requires its Contractor to maintain third-party liability, public liability, and professional indemnity insurance coverage. 

Reasonable efforts will be made to confirm this coverage is in place when the Contractor is added to the panel and verified annually or as need arise. However, this insurance does not cover issues related to poor workmanship. In the event that a Contractor’s insurance policy lapses, Pro Star Installations shall not be held responsible for any losses or damages that cannot be recovered from the Contractor’s insurer. Any claims made against Pro Star Installations, or its Contractors shall be limited to the total amount of payments made specifically for the work in question. 

Jurisdiction and Miscellaneous Rights

These Terms of Use, unless explicitly stated otherwise, and the relationship between us are governed by the laws of the Republic of South Africa. Both you and we agree to submit to the personal and exclusive jurisdiction of the Magistrate’s Courts in Johannesburg. If we fail to exercise or enforce any right or provision of these Terms of Use, it shall not be considered a waiver of that right or provision.

Should any provision of these Terms of Use be deemed invalid or unenforceable by a court of competent jurisdiction (including, but not limited to, being inconsistent with the laws of another jurisdiction), the parties agree that the court should attempt to uphold the original intentions of the provision as much as possible.

The termination of any agreement governed by these Terms of Use does not affect any other rights or remedies available to either party under the agreement or the law. It also does not impact any accrued rights, obligations, or liabilities, nor does it prevent the enforcement of provisions that are intended to survive termination.

If these Terms of Use, any related agreement, or services provided through the Platform are regulated by the Consumer Protection Act, they are not intended to conflict with the Act. Any provision that may contravene the Consumer Protection Act will be interpreted to comply with its requirements.

In accordance with Section 45 of the Magistrates’ Court Act, 1944, you consent to the jurisdiction of the Magistrate’s Court for all disputes related to the Delivery Services, even if the amount claimed or the value of the goods exceeds the Court’s usual monetary jurisdiction.

Damages Policy

All Contractors working with Pro Star Installations are required to maintain active insurance coverage, including:

  • Contractors All Risks insurance with a minimum value of R250,000.
  • Public liability insurance of R1,000,000 (one million Rand) or more.

Insurance policies do not accept claims to cover damages caused by poor workmanship. Pro Star Installations offers limited compensation, capped at R8,500 per customer per year, if it is established that damages or losses resulted from a Contractor’s poor workmanship. Claims for compensation must be directed to the relevant Contractor and their insurer. However, Pro Star Installations will assist in facilitating the claims process.

You acknowledge that external factors beyond Pro Star Installations’ control may influence the completion of jobs. Provided that reasonable efforts are made to complete the job within a reasonable timeframe, Pro Star Installations and its Contractors will not be held liable for late delivery or non-performance.

Pro Star Installations is not responsible for damages arising from the use or inability to use the Trade Lounge, including delays or failures in electronic communication. Furthermore, Pro Star Installations accepts no liability for damages, loss of income, death, or injury resulting from work performed under this agreement, either during the work or after its completion.

Limitations and Exclusions

These Terms of Use (or any agreements governed by them) do not:

  • a) Limit or exclude liability for losses directly or indirectly caused by gross negligence or wilful misconduct by Pro Star Installations, its representatives, or anyone under its control, including liability for death or personal injury, where such limitation or exclusion is prohibited by law.
  • b) Require you to assume risk or liability beyond what is permissible under the law.
  • c) Limit or exclude any statutory warranties or obligations implied or provided by the Consumer Protection Act, 2008 (“Consumer Protection Act”) where such limitations or exclusions are not permitted by law.
Ratings and Reviews Policy

The ratings and reviews of Contractors on the Trade Lounge are the opinions of Customers and do not reflect

Pro Star Installations’ views or representations. Pro Star Installations disclaims all warranties and representations regarding these ratings and reviews and is not liable for any claims, damages, or losses arising from their use or from information contained on Pro Star Installations Trade Lounge.

Customers affirm that any rating or review they submit will be accurate and truthful and will only pertain to a Contractor who has provided services in response to their specific request.

Pro Star Installations reserves the right, but is not obligated, to edit, shorten, refuse to post, or remove any review submitted by a customer if Pro Star Installations determines (at its sole discretion) that the content includes any of the following:

  • Offensive, harmful, or abusive language, such as expletives, profanities, obscenities, harassment, vulgarities, sexually explicit language, or hate speech (e.g., racist or discriminatory comments).
  • References to illegal activities.
  • Language that violates Pro Star Installations’ standards of good taste or the platform’s guidelines.
  • Statements that are false or misleading.
  • Comments disparaging Pro Star Installations.
  • Reviews unrelated to the Contractor’s services or lacking qualitative value (e.g., “work has not started yet”).
  • Comments about a different business.
  • Information unrelated to the work specified in the Customer’s request.

Pro Star Installations is not liable for any damages resulting from its decision to edit, remove, or decline to post reviews, or its failure to do so, even when such reviews feature the content described above.

In the event of a dispute between a customer and a Contractor, the submitted rating may be held in a pending status until the issue is resolved.

User-Generated Content

All Trade Lounge Users acknowledge and agree that any content or information they or their representatives post on the Pro Star Installations Trade Lounge, including but not limited to:

  • Ratings and Reviews,
  • Photographs or Images,
  • Comments, Questions, and/or Answers, and
  • Any other content, (collectively referred to as “Content”) becomes the sole and exclusive property of Pro Star Installations. Trade Lounge Users understand that they have no rights to reproduce, distribute, publish, or otherwise use this Content except for personal purposes directly related to their use of Pro Star Installations Trade Lounge.
Entire Agreement Non-Waiver  

Users may not assign, transfer or sub-contract any of their rights hereunder without Pro Star Installations prior written consent. No waiver shall be effective unless in writing, and no waiver shall constitute a continuing waiver so as to prevent Pro Star Installations from acting upon any continuing or subsequent breach or default.  

This Agreement constitutes the entire agreement as to its subject matter and supersedes and extinguishes all previous communications, representations (other than fraudulent misrepresentations) and arrangements, whether written or oral.  

Trade Lounge Users acknowledge that they have placed no reliance on any representation made but not set out expressly in this Agreement.  

Any notice to be given under this Agreement may be given via e-mail, regular mail, or by hand to the address provided on the Website or otherwise as notified by one party to the other.  

Nothing herein shall create or be deemed to create any joint venture, principal-agent or partnership relationship between the parties and neither party shall hold itself out in its advertising or otherwise in any manner which would indicate or imply any such relationship with the other.  

Notwithstanding any other provision in this Agreement a person who is not a party hereto has no right to rely upon or enforce the terms of this Agreement.  

This Agreement shall be subject to the laws of South Africa and the parties shall submit to the exclusive jurisdiction of the South African courts.
